Oncoscope-AI Terms of Use

These Service Terms of Use (“Terms”) constitute a legally binding agreement between you and Oncoscope-AI on behalf of itself and as host provider of this application provided via the website located at www.oncoscope-ai.com (“Website”) on behalf of its partners, licensors, co-owners, suppliers and others with which Oncoscope-AI  has privity and contribute to the provision of the Portal (as defined below) and any and all offerings enabled or provided thereby (Oncoscope-AI and all such parties, individually and collectively, “Oncoscope-AI ”, “we”, “us” or “our”).

For the purposes of these Terms, Oncoscope and such variations will variously be referred to as the “Portal” when referring to any application and/or other offerings that is or are accessible via this Website. YOU AGREE TO BE BOUND BY THESE TERMS WHEN YOU ACCESS AND CONTINUE TO ACCESS OR USE THE PORTAL VIA THE WEBSITE.  IF YOU DO NOT UNDERSTAND OR AGREE TO BE BOUND BY THESE TERMS, DO NOT ACCESS THE WEBSITE OR USE THE PORTAL OR ANY APPLICATIONS MADE ACCESSIBLE THEREBY.

  1. THE PORTAL

The Portal and its applications comprise software  that provides navigation of publicly available abstracts, guidelines and regulatory approvals across certain types of cancers (including treatment paths established by guideline organizations, links to most recent versions of guidelines, original citations of published clinical trials, FDA package inserts, and more) all to support treatment decisions made by healthcare professionals at point-of-care.

The Portal is not intended as a self-contained or independent decision-making diagnostic tool, and may not be used to diagnose, prevent nor determine treatment plans for any cancers or other conditions or diseases, nor should it be used to set health care or other policy in relation to any conditions or diseases or to ascertain the state of public health.

You are solely responsible for evaluating the information obtained from the Portal and for your use or misuse of such information. You agree that you will be solely responsible for your compliance with all laws and standards of professional practice applicable to you.

  1. AUTHORIZED USE

2.1  You are given a non-transferable, non-exclusive, non-sublicensable license to use the Portal on any compatible devices that You (End-User) own or control and as permitted by these Terms including the Privacy Policy and any other terms referenced hereby or herein.

2.2  This license will also govern any updates of the Portal provided by Licensor that replace, repair, and/or supplement the Portal from time to time, unless a separate license is provided for or with any such update, in which case the terms of that new license will govern such update.

2.3  You may not share or make the Portal available to third parties, sell, rent, lend, lease or otherwise redistribute the Portal.

2.4  You may not reverse engineer, translate, disassemble, integrate, decompile, remove, modify, combine, create derivative works or updates of, adapt, or attempt to derive the source code of the Portal, or any part thereof.

2.5  Violations of the obligations mentioned above, as well as the attempt of such infringement, may be subject to prosecution and damages.

2.6  Licensor reserves the right to modify the terms and conditions of licensing.

2.7  The Portal (and any and all resources and the contents) are protected by intellectual property laws and you are granted only a limited right to remotely access and use the same.  Other than with respect to your own information, these Terms do not grant you any rights in connection with any copyrighted materials, trademarks or service marks, or any other intellectual proprietary rights with respect to any resources or their contents in respect of your use of the Portal.

3.0 TECHNICAL REQUIREMENTS

3.1  Licensor attempts to keep the portal updated so that it complies with modified/new versions of operating systems, browser releases and new hardware. You are not granted rights to claim such an update.

3.2  You acknowledge that it is Your responsibility to confirm and determine that the app end-user device on which You intend to use the Portal satisfies the technical specifications.

3.3  Licensor reserves the right to modify the technical specifications as it sees appropriate at any time.

  1. MAINTENANCE AND SUPPORT

4.1  The Licensor is solely responsible for providing any maintenance and support services for the Portal. You can reach the Licensor at the email address listed on the Website for this Portal.

  1. USE OF DATA / PRIVACY

5.1 You acknowledge that Licensor will be able to access Your Portal usage information and Your personal information entered during registration process, and that Licensor’s use of such material and information is subject to Your legal agreements with Licensor and Licensor’s privacy policy.

5.2   You acknowledge that the Licensor may periodically collect and use technical data and related information about your device, system, and application software, and peripherals, offer product support, facilitate the software updates, and for purposes of providing other services to you (if any) related to the Portal. Licensor may also use this information to improve its products or to provide services or technologies to you, as long as it is in a form that does not personally identify you.

5.3   Information privacy is important to Oncoscope and it is committed to protecting your information in accordance with applicable laws and regulations and consistent with our established policies. Our Privacy Policy supplements these Terms and further describe how Oncoscope collects information through the Portal, and how we use, disclose, and protect that information. Oncoscope’s use of your information that is Personally Identifiable Information, if any, is further defined and clarified in such Privacy Policy. Oncoscope does not permit any uploading or submission or use of the Portal or Website with any personal health information or any other personal data governed or regulated by any applicable laws and should any personal health information or similar data be uploaded or submitted or otherwise use by you in respect of your use of the Portal and/or Website, Oncoscope will use only be obligated to use commercially reasonable efforts to assist you in mitigating or curing any such breach or violations and you agree to defend, indemnify and hold harmless, and pay and reimburse, Oncoscope and any and all of Oncoscope’s partners, licensors, co-owners, suppliers and others with which Oncoscop has privity and contribute to the provision of the Portal and/or other Services from and against any and all actions, claims, or damages (including attorneys’ fees and costs) incurred as a result thereof or arising therefrom.

  1. WARRANTY; LIMITATION OF LIABILITY

6.1 The services including without limitation all materials, information, software, products, tools, data and portal included in or available through the website or otherwise via Oncoscope are provided “AS IS” and “AS AVAILABLE” without warranty of any kind, express or implied.

6.2 For documents and software available from this website, you specifically acknowledge that Oncoscope does not warrant or assume any legal liability or responsibility for the accuracy, completeness, or usefulness of any information, apparatus, product, or process disclosed.

6.3  Licensor takes no accountability or responsibility for any damages caused due to a breach of duties according to Section 2 of this License Agreement.

 

  1. ENDORSEMENT

7.1 Oncoscope does not endorse or recommend any commercial products, processes, or services. The views, opinions and findings of others on our Website or the Portal do not necessarily state or reflect those views, opinions or findings of Oncoscope, and they may not be used for advertising or product or other type of endorsement purposes.

  1. EXTERNAL LINKS

8.1  External Links: Some pages on our Website or Portal may provide links to other Internet sites for the convenience of users. Oncoscope is not responsible for the availability or content of these external sites, nor does Oncoscope endorse, warrant, or guarantee the products, services, or information described or offered at these other Internet sites. Users cannot assume that the external sites will abide by the same Privacy Policy to which Oncoscope adheres. It is the responsibility of the user to examine the copyright and licensing restrictions of linked pages and to secure all necessary permissions.

  1. ENTIRE AGREEMENT.

These Terms of Use, the Terms and Conditions, and any other policies or notices referenced herein represent the entire agreement of the parties with respect to the subject matter hereof.  Oncoscope may, at any time and from time to time, supplement, amend, or otherwise change these Terms. Any changes to these Terms will be effective immediately upon providing notice of the changes by posting at this location. You agree to comply with and be bound by the modified Terms either (i) by continuing to use or access the Portal after receiving notice of the changes as described above or (ii) by not requesting to terminate your Portal account within seven (7) calendar days after receiving a notice of the changes as described above.

You represent and warrant that You are not located in a country that is subject to a US Government embargo, or that has been designated by the US Government as a “terrorist supporting” country; and that You are not listed on any US Government list of prohibited or restricted parties.

  1. TERMINATION

The license is valid until terminated by Oncoscope or by You. Your rights under this license will terminate automatically and without notice from Oncoscope if You fail to adhere to any term(s) of this license. Upon License termination, You shall stop all use of the Portal, and destroy all copies, full or partial, of the Portal.

  1. APPLICABLE LAW

This License Agreement is governed by the laws of the State of Florida excluding its conflicts of law rules.
